“Lumidex 分销商平台”（以下简称“本平台”），系指 Poligon Pte.Ltd.（下称“本公司”或“我们”）合法拥有并运营的网站，Lumidex 分销商平台旨在为本公司合作方提供更好的网文、短剧等内容分销合作管理服务。《Lumidex 分销平台用户协议》（以下称“本协议”）是您与我们就您注册、登录、使用（以下统称“使用”）本平台，并获得本平台提供的相关服务所订立的协议，具有合同效力。
The "Lumidex Distributor Platform" (hereinafter referred to as "the Platform") refers to the website legally owned and operated by Poligon Pte.Ltd. (hereinafter referred to as "the Company" or "us", "we"), the Lumidex Distributor Platform aims to provide better content distribution cooperation management services for the Company's partners, including online novels, short dramas, etc. This Terms of Service (hereinafter referred to as "this Agreement") is an agreement concluded between you and us regarding your registration, login, and use (hereinafter collectively referred to as "use") of the Platform and obtaining the relevant services provided by the Platform, and has contractual effect.
为了更好地为您提供服务，请您在开始使用本平台服务（以下简称“本服务”）之前，认真阅读并充分理解本协议，特别是涉及免除或者限制责任的条款、权利许可和信息使用的条款、法律适用和争议解决条款等。其中，免除或者限制责任条款等重要内容将以加粗形式提示您注意，您应重点阅读。
To better serve you, please carefully read and fully understand this Agreement before starting to use the services of the Platform (hereinafter referred to as "the Service"), especially the clauses regarding exemption or limitation of liability, rights license and information use, governing law and dispute resolution, etc. Among them, important content such as clauses regarding exemption or limitation of liability will be highlighted in bold to draw your attention, and you should focus on reading them.
本平台主要面向商业主体，包括但不限于法人、非法人组织等，如您未满 18 周岁，我们暂时无法向您提供服务。
This Platform is mainly targeted at commercial entities, including but not limited to legal persons, unincorporated organizations, etc. If you are under 18 years old, we are temporarily unable to provide services to you.
如您不同意本协议，这将导致我们无法为您提供完整的本平台服务，您也可以选择自动终止使用本平台的服务。如您自主选择同意或使用本服务，则视为您已充分理解本协议，并同意作为本协议的一方当事人接受本协议以及其他与本平台相关的协议和规则（包括但不限于《隐私政策》）的约束。
If you do not agree to this Agreement, it will result in our inability to provide you with the full range of services on the Platform, and you may also choose to automatically terminate your use of the Services on the Platform. If you voluntarily choose to agree to or use the Service, it shall be deemed that you have fully understood this Agreement and agreed to be bound by this Agreement and other agreements and rules related to the Platform (including but not limited to the Privacy Policy) as a party to this Agreement.
我们有权依本平台服务或运营的需要单方决定，安排或指定本公司关联方、控制公司、继承公司或公司认可的第三方公司继续运营本平台。如对本协议内容有任何疑问、意见或建议，您可通过平台下方Lumidex@bytedance.com等其他渠道与我们联系。
We reserve the right to unilaterally decide, arrange, or designate our affiliates, controlled or successor companies, or third-party companies approved by the Company to continue operating the Platform as needed for the service or operation of the Platform. If you have any questions, comments, or suggestions regarding the content of this Agreement, you may contact us through other channels such as Lumidex@bytedance.com indicated on the Platform.
本协议是您与我们之间就您注册、登录、使用本平台，或者获得本平台提供的任何服务所订立的协议。就本协议项下涉及的某些服务，可能会由我们的关联公司、认可的第三方公司向您提供，您知晓并同意接受上述服务内容，即视为接受双方之间的相关权利义务关系亦受本协议约束。
This Agreement is an agreement entered into between you and us regarding your registration, login, use of the Platform, or receipt of any services provided by the Platform. For certain services covered under this Agreement, they may be provided to you by our affiliated companies or approved third-party companies. Your awareness and consent to accept the above service content shall be deemed as acceptance that the relevant rights and obligations between the parties are also governed by this Agreement.
用户：是指在本平台注册/登录后，通过本平台提供的信息技术服务进行入驻签约、记录分销投放合作数据、获得分销收益等平台服务的使用人，在本协议中或称“您”。
User: refers to the user who, after registering/logging in on the Platform, uses the Services such as onboarding and signing contracts, recording distribution and placement cooperation data, and obtaining distribution revenue through the Services provided by the Platform, and is also referred to as "you" in this Agreement.
本平台已经发布及后续可能不断发布的关于本平台内的各类协议、规则、声明、公告等内容，为本协议不可分割的组成部分。如您拒绝接受该等更新内容，您应当立即停止使用本平台及服务。如您在该等更新内容发布后，仍继续使用本平台及服务，应视为您接受该等更新内容作为本协议的补充协议并受到约束。
All types of agreements, rules, statements, announcements, and other content that have been published on the Platform and may continue to be published in the future regarding matters within the Platform are an integral part of this Agreement. If you refuse to accept such updated content, you shall immediately cease using the Platform and its Services. If you continue to use the Platform and its Services after the publication of such updated content, it shall be deemed that you have accepted such updated content as the Supplementary Agreement to this Agreement and are bound thereby.
我们可能会对本平台及其相关功能不时进行变更、升级、修改或转移，并会在本平台中开发新功能或其它服务。上述新功能、服务如无独立协议的，您仍可取得相应功能或服务的授权，并可适用本协议。
We may make changes, upgrades, modifications, or transfers to the Platform and its related functions from time to time, and will develop new functions or other services on the Platform. For the above-mentioned new functions and services without a separate agreement, you may still obtain authorization for the corresponding functions or services, and this Agreement shall apply.
本平台向您提供的功能与服务，包括但不限于进行线上电子签约、接受分销委托、记录分销投放合作数据、获得分销收益等平台服务等。随着本平台的更新，本平台提供的功能与服务可能会进一步增加。我们再次明确，前述功能或服务可能会随着服务版本不同，或本公司的单方判断而被优化、修改或增加，或因定期、不定期的维护而暂缓提供，或因您账号等级的改变而开启或关闭。
The functions and services provided by the Platform to you include, but are not limited to, online electronic signature, acceptance of distribution mandates, recording of distribution placement cooperation data, obtaining distribution revenue, and other Platform services. As the Platform is updated, the functions and services provided by the Platform may further develop. We hereby reclarify that the aforementioned functions or services may be optimized, modified, or added depending on different platform versions or the unilateral discretion of our Company, or may be temporarily suspended due to regular or irregular maintenance, or may be enabled or disabled due to updates in your account level.
我们可能为不同的终端设备开发不同的应用程序软件版本，可能会不断丰富您使用本平台的终端形式等。若本平台存在不同终端形式，如您已注册使用一种形式的服务，您仍可以以同一账号使用其他版本服务，本协议自动适用于您对所有版本的软件和服务的使用。我们有权对应用程序及网站名称单方变更(包括但不限于更名、新增等)。
We may develop different versions of application software for different terminal devices, and may continuously enrich the terminal device forms through which you use the Platform. If there are different terminal device forms on the Platform, and you have already registered to use the service in one form, you may still use the services of other versions with the same account, and this Agreement shall automatically apply to your use of all versions of software and services. We reserve the right to unilaterally change the names of applications and websites (including but not limited to renaming, adding, etc.)
为更好的提升用户体验及服务，我们将不定期提供本平台的更新或改变(包括但不限于升级、功能强化、开发新服务等)。为保证本平台服务安全、提升用户服务，本平台服务部分或全部更新后，我们将在可行情况下以适当方式(包括但不限于系统提示、公告等)提示您。
To better enhance User Experience and services, we will provide updates or changes to the Platform on an irregular basis (including but not limited to upgrades, feature enhancements, development of new services, etc.). To ensure the security of the Platform's services and improve user services, after partial or full updates to the Platform's services, we will, where feasible, notify you in an appropriate manner (including but not limited to system prompts, announcements, etc.).
您理解，为充分实现本平台的全部功能，您可能需要将您的终端设备联网，您理解您应自行承担所需要的费用(如流量费、上网费等)。
You understand that to fully utilize all the functions of the Platform, you may need to connect your terminal device to the Internet, and you understand that you shall bear the necessary costs (such as data charges, Internet access fees, etc.) on your own.
我们许可您一项可撤销的、不可转让的、非独占的和非商业的合法使用平台网站及服务的权利。本协议未明示授权的其他一切权利仍由我们保留，您在行使相关权利前须另行获得我们的书面许可，不得以任何形式对本平台及服务进行包括但不限于改编、复制、传播、垂直搜索、镜像或交易等未经授权的访问或使用，同时我们如未行使前述任何权利，并不构成对该权利的放弃。
We hereby grant you a revocable, non-transferable, non-exclusive, and non-commercial legal right to use the Platform website and services. All other rights not expressly authorized by this Agreement shall remain reserved by us. You must obtain our separate written permission before exercising relevant rights, and shall not conduct any unauthorized access or use of the Platform and services in any form, including but not limited to adaptation, reproduction, dissemination, vertical search, mirroring, or trading. Meanwhile, our failure to exercise any of the aforementioned rights shall not constitute a waiver of such rights.
您需提供真实的信息注册并登录后方可使用本服务，若您提交的材料或提供的信息不规范或不符合要求的，则我们有权拒绝为您提供相关服务，您可能无法使用本服务或在使用过程中部分功能受到限制。
You must provide real information to register and log in before using the Service. If the materials you submit or the information you provide is non-compliant or does not meet the requirements, we reserve the right to refuse to provide you with relevant services, and you may be unable to use the Service or have some functions restricted during use.
如您发现本平台内存在任何侵犯您权利的内容，您可以按照本平台中提示的投诉途径通知我们，并提供您有相关权利的证据，我们将会依据相关法律规定及时处理您的投诉。
If you find any content within the Platform that infringes on your rights, you may notify us through the complaint channels indicated on the Platform and provide evidence of your relevant rights, and we will promptly handle your complaint in accordance with relevant laws and regulations.
本平台部分功能使用 YouTube API Services。您使用本平台提供的 YouTube 相关功能，即表示您同意遵守并受 YouTube 服务条款的约束。
Certain features of the Platform use YouTube API Services. By using the Platform's YouTube-related features, you agree to comply with and be bound by the YouTube Terms of Service.
本平台可在您通过 Google OAuth 明确授权的范围内，为您提供已授权 YouTube 频道及视频的数据分析（包括观看表现、预计收入和广告表现）、评论管理、视频上传，以及本平台内容与 YouTube 视频关联等功能。具体数据处理方式以本平台《隐私政策》为准。
Within the scope expressly authorized by you through Google OAuth, the Platform may provide analytics for your authorized YouTube channels and videos, including viewing performance, estimated revenue, and advertising performance, as well as comment management, video uploads, and associations between Platform content and YouTube videos. The Platform's Privacy Policy governs the relevant data processing.
您确认并保证，您是相关 YouTube 账号、频道或内容的合法所有者，或已获得充分、有效且持续的授权，有权允许本平台访问相关数据并代表相关频道执行操作。您不得授权本平台访问或管理您无权控制的账号、频道或内容。
You represent and warrant that you are the lawful owner of the relevant YouTube account, channel, or content, or that you have obtained sufficient, valid, and continuing authorization to permit the Platform to access the relevant data and perform actions for the relevant channel. You must not authorize the Platform to access or manage any account, channel, or content that you are not entitled to control.
本平台仅会在您明确启用或确认具体操作、规则或任务后，代表相关频道发布评论回复、上传视频或执行其他写入操作。您应核实目标频道、自动回复规则、回复内容、上传内容及相关设置，并对相关操作保有最终决定权。您可以停止相关任务或撤销相应授权。
The Platform will publish comment replies, upload videos, or perform other write actions for the relevant channel only after you expressly enable or confirm the applicable action, rule, or task. You must verify the target channel, automated reply rules, reply content, uploaded content, and related settings, and you retain final authority over those actions. You may stop the relevant task or revoke the applicable authorization.
在通过本平台向 YouTube 上传视频前，您应确认上传内容符合 YouTube 服务条款及 YouTube 社区准则，且不侵犯任何第三方的著作权、商标权、隐私权、肖像权或其他合法权益。您应按照本平台提供的功能确认视频标题、描述、目标频道及公开状态（公开、不公开或私享），并根据适用要求如实设置或申报儿童内容状态。
Before uploading a video to YouTube through the Platform, you must confirm that the content complies with the YouTube Terms of Service and the YouTube Community Guidelines and does not infringe any third party's copyright, trademark, privacy, publicity, or other lawful rights. You must confirm the video title, description, target channel, and visibility setting (public, unlisted, or private) through the functions provided by the Platform and accurately designate or report Made for Kids content as applicable.
您不得利用本平台的 YouTube 相关功能发送垃圾信息、实施欺骗、骚扰或其他违法违规行为，不得在未经明确同意的情况下自动触发上传、评论或其他操作，不得操纵观看、互动或广告数据，也不得通过本平台规避 YouTube 或 Google 设置的技术、地域、权限或使用限制。
You must not use the Platform's YouTube-related features to distribute spam, engage in deception, harassment, or other unlawful or non-compliant conduct; automatically trigger uploads, comments, or other actions without express consent; manipulate views, engagement, or advertising data; or circumvent technical, geographic, authorization, or usage restrictions imposed by YouTube or Google.
YouTube 相关数据仅可由授权用户及其明确批准的人员或代理访问。本平台不会合并不同 YouTube 内容所有者的数据以推断 YouTube 的使用情况、收入或其他业务信息。您不得披露、出售、转授权或以其他未经授权的方式使用通过本平台获得的 YouTube 数据。
YouTube-related data may only be accessed by the authorizing user and persons or agents expressly approved by that user. The Platform will not combine data from different YouTube content owners to derive insights into YouTube's usage, revenue, or other business information. You must not disclose, sell, sublicense, or otherwise use YouTube data obtained through the Platform without authorization.
如您的 Google 或 YouTube 授权失效或被撤销，您违反本协议、YouTube 服务条款、YouTube 社区准则或适用法律，或者 YouTube API Services 发生变更、中断或限制，我们有权暂停、限制或终止向您提供相关功能。除非另有明确书面说明，本平台提供 YouTube API 集成功能不表示 YouTube 或 Google 对本平台的赞助、认可或背书。
We may suspend, restrict, or terminate the relevant features if your Google or YouTube authorization expires or is revoked; you violate this Agreement, the YouTube Terms of Service, the YouTube Community Guidelines, or applicable law; or YouTube API Services are changed, interrupted, or restricted. Unless expressly stated otherwise in writing, the Platform's integration with YouTube API Services does not indicate sponsorship, approval, or endorsement of the Platform by YouTube or Google.
本平台为您提供注册通道，您应使用合法手机号码或者电子邮箱注册账号（以下简称“本账号”），并确保本账号的注册人与管理人系同一主体。 在注册本账号后，个人主体欲使用本账号，应使用与已签订协议或公司主体授权相一致的个人身份信息进行账号主体真实身份核验；公司主体欲使用本账号，应使用与本公司所签订的协议中相一致的公司主体信息及该公司的法定代表人身份信息进行账号主体真实身份核验。在账号主体真实身份核验的过程中，您需向我们提供资质证明及其他证明文件，例如，个人主体需要提供身份证信息，公司主体需要提供的材料包括但不限于营业执照、法定代表人及账号管理人姓名、身份证号码、身份证照片或复印件、管理人授权书及同意函等信息。您保证提供的文件内容真实有效，不侵犯任何第三方的合法权益，由于信息虚假或不准确造成的一切后果与损失均由您承担。
This Platform provides you with a registration channel. You should use a valid mobile phone number or email address to register an account (hereinafter referred to as "the Account"), and ensure that the registrant and administrator of the Account are the same one. After registering the Account, if an individual wishes to use the Account, it should use the personal identity information consistent with that in the agreement signed and/or authorized by the administrator entity, to verify the true identity of the account; if a corporate entity wishes to use the Account, it should use the corporate entity information consistent with that in the agreement signed with our Company and the identity information of the legal representative of the Company to verify the true identity of the account. During the process of verifying the identity of the account holder, you are required to provide us with qualification certificates and other supporting documents. For example, individual account holders need to provide ID card information, while corporate account holders need to provide materials including but not limited to Certificate of Incorporation, names of legal representatives and account administrators, ID card numbers, ID card photos or copies, administrator authorization letters, and consent letters. You guarantee that the content of the provided documents is true and valid, and does not infringe upon the legitimate rights and interests of any third party. All consequences and losses caused by false or inaccurate information shall be borne by you.
您理解并同意，针对法人用户，如本账号系由法人所委托的管理人本人的手机号码进行注册的，当管理人发生变更时，则本账号应予注销，或将本账号与企业主体进行解绑，企业主体应另行使用新管理人手机号码进行账号注册；如本账号系由法人手机号码注册的，则当管理人发生变更时，法人有义务及时通知本平台变更管理人信息。
You understand and agree that, for corporate users, if the Account is registered using the mobile phone number of the administrator entrusted by the corporate, when the administrator changes, the Account shall be cancelled, or the Account shall be unlinked from the corporate, and the corporate entity shall use the new administrator's mobile phone number to register an account; if the Account is registered using the corporate's mobile phone number, then when the administrator changes, the corporate has the obligation to promptly notify the Platform to change the administrator information.
您理解并同意，您不得通过非本平台官方的其他任何渠道申请使用本平台，本平台不对前述任何非官方的行为负责，您应审慎甄别操作并承担相应法律后果。同时，如因您通过本平台官方渠道申请而导致的申请失败、申请流程过长等后果，本平台不承担任何责任。
You understand and agree that you shall not apply to use the Platform through any other channels other than the official channels of the Platform. The Platform shall not be responsible for any of the aforementioned non-official actions, and you shall carefully distinguish operations and bear the corresponding legal consequences. Meanwhile, the Platform shall not be responsible for any consequences such as application failure or excessively long application process resulting from your application through the official channels of the Platform.
您承诺并保证提供的证明文件等信息均真实、合法、准确、有效且不存在超过时效问题(即保证所有证明文件在整个协议履行期间都处于有效期内)。您应对您违反前述保证或未及时的通知或更新信息承担相应责任，如因上述原因发生纠纷或被相关国家主管机关处罚，您应当独立承担全部责任。
You hereby promise and guarantee that all information provided, such as supporting documents, is true, legal, accurate, valid, and does not have any issues of expiration (i.e., ensuring that all supporting documents remain valid throughout the entire term of the Agreement). You shall be responsible for any breach of the foregoing guarantees or failure to promptly notify or update information. In the event of disputes or penalties imposed by relevant authorities for the above reasons, you shall independently assume full responsibility.
我们有权自行及/或单方聘请第三方审查和核实及/或定期、不定期进行抽查或抽检您提交、修改或更新的相关信息、资质证明文件等。我们可能需要您提供更多的证明或辅助证明文件，您应理解并在此同意将会按照我们的要求予以配合提供。如您不能或拒绝提供的，我们将按照法律规定或本平台相关规则对您在本平台的权限进行必要的限制，直至终止为您提供服务。因您不予配合提供而导致的一切法律责任，由您自行承担，如给我们或相关方造成损失的，您同意赔偿相应损失。
We reserve the right to engage a third party on our own and/or unilaterally to review, verify, and/or conduct regular or irregular spot checks or inspections of the relevant information, qualification certification documents, etc. that you submit, modify, or update. We may require you to provide additional certification or supporting documentation, and you shall understand and hereby agree to cooperate and provide such documentation as required by us. If you are unable or refuse to provide such documentation, we will impose necessary restrictions on your access to the Platform in accordance with the laws or relevant rules of the Platform, up to and including terminating the provision of Services to you. You shall bear all legal liabilities arising from your failure to cooperate and provide information. If any losses are caused to us or stakeholders, you agree to compensate for the corresponding losses.
您同意授权我们将您提交的资料审核信息由本平台自身或本平台委托的第三方审核机构进行甄别核对，本平台及/或第三方审核机构有权出于审核之必要查阅、使用及保存上述资料及信息，并有权就审核事宜与您进行联系与沟通，您应当配合本平台及/或第三方审核机构在审核过程中所提出的相关需求。对于您提交的个人信息，您在此确认已经获得了相关个人信息主体的完整授权同意。
You agree to authorize us to have the information and materials you submitted verified and cross-checked by the Platform itself or a third-party moderation agency commissioned by the Platform. the Platform and/or the third-party moderation agency have the right to access, use, and store the above materials and information as necessary for moderation, and have the right to contact and communicate with you regarding moderation matters. You shall cooperate with the Platform and/or the third-party moderation agency in meeting the relevant requirements raised during the moderation process. With respect to the personal information you submitted, you hereby confirm that you have obtained the full authorization and consent of the relevant subject.
您理解并同意，本平台及/或第三方审核机构的审核结果并不意味着本平台对您所提供信息的最终真实性、合法性、有效性、可靠性作出任何明示或暗示的担保，您应对自己的申请及后续使用自行承担全部法律后果。
You understand and agree that the moderation results of the Platform and/or third-party moderation agencies do not imply that the Platform makes any express or implied warranty regarding the ultimate authenticity, legality, validity, and reliability of the information you provide. You shall bear all legal consequences for your own application and subsequent use.
You have filled in the necessary information and provided qualification certification documents in accordance with our guidance and requirements, and have passed our moderation;
您理解并承诺，您所设置的账号不得违反适用法律法规及本平台的相关规则，不得实施任何侵害国家利益、损害其他第三方合法权益，有害社会道德风尚的行为，您的账号信息及其他个人信息中不得出现违法和不良信息，未经他人许可不得用他人名义（包括但不限于冒用他人姓名、笔名、名称、字号、商号等足以让人引起混淆的方式）开设账号，不得恶意注册账号（包括但不限于频繁注册、批量注册账号等行为）。我们有权对您提交的注册信息进行审核。
You understand and undertake that the account you set up shall not violate applicable laws and regulations or the relevant rules of the Platform, shall not engage in any act that infringes upon national interests, impairs the legitimate rights and interests of other third parties, or is harmful to social morality and ethics. There shall be no illegal or harmful information in your account information and other personal information. Without the permission of others, you shall not open an account in the name of others (including but not limited to using others' names, pen names, titles, trade names, business names, etc. in a manner that is likely to cause confusion), and shall not maliciously register accounts (including but not limited to frequent registration, batch registration of accounts, etc.). We reserve the right to conduct moderation on the registration information you submit.
您在本平台中的注册账号所有权及有关权益均归公司所有，您完成注册手续后仅享有该账号的使用权，您应当正确、适当地使用、运营、管理本服务账号。您的账号仅限于您本人使用，未经公司书面同意，禁止以任何形式赠与、借用、出租、转让、售卖或以其他方式许可他人使用该账号。如果公司发现或者有合理理由认为使用者并非账号初始注册人，为保障账号安全，公司有权采取相应措施，包括但不限于立即暂停或终止向该注册账号提供服务，冻结账号权益或注销该账号。
The ownership and relevant rights of your registered account on the Platform shall belong to the Company. After completing the registration process, you shall only have the right to use the account, and you shall use, operate, and manage the Service account correctly and appropriately. Your account is limited to your personal use only. Without the written consent of the Company, it is prohibited to gift, borrow, rent, transfer, sell, or otherwise authorize others to use the account in any form. If the Company discovers or has reasonable grounds to believe that the user is not the original registrant of the account, in order to safeguard the security of the account, the Company has the right to take corresponding measures, including but not limited to immediately suspending or terminating the provision of Services to the registered account, freezing the account's rights and interests, or canceling the account.
您有责任维护账号的安全性与保密性，并对您以注册账号名义所从事的活动承担全部法律责任，包括但不限于您通过本服务进行的任何数据修改、内容发布、言论发表等操作行为。您应高度重视对账号的保密，在任何情况下不向他人透露账号。若发现他人未经许可使用您的账号或发生其他任何安全漏洞问题时，您应当立即通知公司。
You are responsible for maintaining the security and confidentiality of your account and shall assume full legal liability for all activities conducted under your registered account, including but not limited to any data modification, content publication, speech posting, and other operational actions performed through the Service. You should attach great importance to the confidentiality of your account and under no circumstances disclose it to others. If you discover that someone has used your account without permission or any other security vulnerability issues occur, you shall immediately notify the Company.
为更好的为您提供服务，公司有权对用户进行分级、分类管理，并有权根据级别设置相应的权限、提供相应的服务。
To better serve you, the Company has the right to classify and manage users by level and category, and has the right to set corresponding permissions and provide corresponding services based on the level.
In case your account is stolen or lost due to your own reasons, you shall bear full responsibility, and the Company shall not assume any liability.
公司有权经提前公示告知终止本平台服务并暂停、关闭或删除您名下全部或部分本平台账号及这些账号中所有相关内容、资料及档案，但公司可提供下载接口和合理时间供您下载所上传的内容、资料及档案。
The Company has the right to terminate the Services of the Platform, and suspend, close, or delete all or part of your accounts on the Platform, as well as all relevant content, materials, and archives in these accounts, after prior notice. However, the Company may provide a download interface and a reasonable time for you to download the aforementioned contents and information.
如果您想注销您的本平台账号，请您发邮件至Lumidex@bytedance.com，本平台于收到您的需求后，尽快与您沟通，为您办理注销。
If you wish to cancel your account on the Platform, please send an email to Lumidex@bytedance.com. After receiving your request, the Platform will communicate with you as soon as possible to process the cancellation for you.
You should use the Platform in an appropriate manner. The following behaviours violate the usage specifications:
Engage in activities that violate laws, regulations, and policies, undermine public order and good customs, or harm public interests.
对本平台软件及其中的相关信息擅自出租、出借、复制、修改、链接、转载、汇编、发表、出版、建立镜像站点，借助本平台发展与之有关的衍生产品、作品、服务、插件、外挂、兼容、互联等。
Unauthorized rental, lending, copying, modification, linking, reposting, compilation, publication, establishment of mirroring sites for the Platform software and its related information, or development of related derivative products, works, services, plugins, cheating software, compatibility, interconnection, etc. through the Platform.
通过非由我们及其关联公司开发、授权或认可的第三方兼容软件、系统登录或使用本平台，或针对本平台使用非我们及其关联公司开发、授权或认证的插件和外挂。
Logging in to or using the Platform through third-party compatible software or systems not developed, authorized, or approved by us and our affiliated companies, or using plugins and cheating software not developed, authorized, or certified by us and our affiliated companies on the Platform.
删除本平台及其他副本上关于版权的信息、内容。修改、删除或避开应用产品中我们为保护知识产权而设置的任何技术措施。
Delete copyright-related information and content on the Platform and other copies. Modify, delete, or bypass any technical measures we have implemented in the application product to protect Intellectual Property Rights.
未经我们的书面同意，擅自将本平台出租、出借或再许可给第三方使用，或在获得许可软件的升级版本的许可使用后，同时使用多个版本的许可使用版本，或分开转让。
Without our written consent, renting, lending, or sub-licensing the Platform to a third party for use, or using multiple licensed versions simultaneously after obtaining a license to use an upgraded version of the licensed software, or separately transferring it.
复制、反编译、修改本平台或其任何部分或制造其衍生作品；对本平台或者本平台运行过程中释放在终端中的任何数据及本平台运行过程中终端与服务器端的交互数据进行复制、修改、挂接运行或创作任何衍生作品，包括使用插件、外挂或非经授权的第三方工具/服务接入本平台和相关系统等形式。
Copy, decompile, modify the Platform or any part thereof, or create derivative works thereof; copy, modify, hook into for operation, or create any derivative works of any data released by the Platform during its operation on the terminal and any interactive data between the terminal and the server during the operation of the Platform, including forms such as using plugins, cheating software, or unauthorized third-party tools/services to access the Platform and related systems.
进行任何危害信息网络安全的行为，包括使用本平台时以任何方式损坏或破坏本平台或使其不能运行或超负荷或干扰第三方对本平台的使用；未经允许进入他人计算机系统并删除、修改、增加存储信息；故意传播恶意程序或病毒以及其他破坏、干扰正常网络信息服务的行为。
Engaging in any behavior that endangers Information Cyber Security, including damaging or destroying the Platform, rendering it inoperable, overloading it, or interfering with third parties' use of the Platform in any way while using the Platform; accessing others' computer systems without permission and deleting, modifying, or adding stored information; deliberately spreading malicious programs or viruses, as well as other behaviors that disrupt or interfere with normal network information services.
Engage in illegal and criminal activities such as fraud, theft of others' accounts, and misappropriation of funds using the Platform.
通过修改或伪造本平台运行中的指令、数据、数据包，增加、删减、变动本平台的功能或运行效果，及/或将具有上述用途的软件通过信息网络向公众传播或者运营。
Modify or forge instructions, data, or data packets during the operation of the Platform, add, delete, or change the functions or operational effects of the Platform, and/or disseminate or operate software with the above purposes to the public through information networks.
Obtain others' account information and account content without the permission of the account administrator.
Use the Platform in any illegal manner, for any illegal purpose, or in any way inconsistent with this Agreement.
Any act that uses or targets the Platform software and related services to endanger computer Cyber Security, including but not limited to:
Activities that endanger Cyber Security, such as illegally intruding into networks, interfering with normal network functions, and stealing network data;
Provide programs and tools specifically designed for activities that endanger Cyber Security, such as engaging in network intrusion, disrupting normal network functions and protective measures, and stealing network data;
Knowing that others are engaged in activities that endanger cyber security, providing them with technical support, advertising promotion, payment settlement, and other assistance;
Entering a public computer network or another person's computer system without permission and deleting, modifying, or adding stored information;
Attempting to probe, scan, test the vulnerabilities of the Platform's system or network, or other actions that undermine Cyber Security without permission;
企图干涉、破坏本平台系统或网站的正常运行，故意传播恶意程序或病毒以及其他破坏干扰正常网络信息服务的行为；
Attempting to interfere with or disrupt the normal operation of the Platform's system or website, deliberately spreading malicious programs or viruses, and other acts that disrupt or interfere with normal network information services;
Reverse engineer, disassemble, compile, or otherwise attempt to discover the source code of the software and related services of the Platform;
Maliciously registering accounts for the Platform's software and related services, including but not limited to frequent and bulk registration of accounts;
Other acts that violate laws and regulations, this Agreement, the Company's relevant rules, and infringe upon the legitimate rights and interests of others.
您理解并同意，本平台致力于为所有用户提供文明健康、规范有序的网络环境，您不得利用本平台制作、复制、发布、传播如下干扰本平台正常运营，或侵犯其他用户或第三方合法权益的内容，包括但不限于：
You understand and agree that the Platform is committed to providing a civilized, healthy, standardized, and orderly online environment for all users. You shall not use the Platform to create, copy, publish, or disseminate content that disrupts the normal operation of the Platform or infringes upon the legitimate rights and interests of other users or third parties, including but not limited to:
Posting, transmitting, disseminating, or storing content that violates national laws and regulations, including:
Endangering national security, disclosing state secrets, subverting state power, or undermining national unity;
Disseminating information that is pornographic, , related to gambling, violent, terrorist, or inciting crime;
Inciting illegal assemblies, associations, marches, demonstrations, or gathering crowds to disrupt social order;
Publish, transmit, disseminate, or store content that infringes upon others' legitimate rights such as reputation rights, portrait rights, privacy, personal information rights, intellectual property rights, trade secrets, etc.;
Post, transmit, or disseminate harassing information, advertising information, spam, or information containing any sexual or sexually suggestive content;
Other content that violates laws, regulations, policies, public order and good customs, and social ethics.
我们会根据相关法律法规、协议对您的相关行为是否涉嫌违反上述使用规范做出认定，并根据认定结果中止、终止对您的使用许可或采取其他依约可采取的限制措施。
We will determine whether your relevant actions are suspected of violating the above usage specifications in accordance with relevant laws, regulations, and agreements, and based on the determination results, suspend, terminate your access to the Services, or take other restrictive measures that can be taken as agreed.
对于您违反上述使用规范的行为对任意第三方造成损害的，您需要以自己的名义独立承担法律责任，并应确保我们免于因此产生损失或增加费用。
For any damage caused to any third party due to your violation of the above usage specifications, you shall independently assume legal liability in your own name and shall ensure that we are exempted from any losses or costs arising therefrom.
如您违反有关法律或者本协议之规定，使我们遭受任何损失，或受到任何第三方的索赔，或受到任何行政管理部门的处罚，您应当赔偿我们因此造成的损失及（或）发生的费用，包括合理的律师费用、调查取证费用等。
If you violate relevant laws or the provisions of this Agreement, causing us to suffer any losses, or be subject to any claims from third parties, or be subject to any penalties from administrative departments, you shall compensate us for the losses and/or expenses incurred thereby, including reasonable attorney's fees, investigation and evidence collection fees, etc.
保护您的个人信息对我们很重要。我们在本平台的《隐私政策》及部分功能独立设置的相关隐私政策中（如有）对您的信息收集、使用、共享、存储、保护等关系到您切身利益的内容进行了重要披露。我们建议您完整地阅读，以帮助您更好的保护您的个人信息。
Protecting your personal information is important to us. We have made important disclosures in the Platform's Privacy Policy and the relevant rules independently established for some functions if applicable regarding matters that concern your vital interests, such as the collection, use, sharing, storage, and protection of your data and information. We recommend that you read them in full to help you better protect your personal information.
您理解并同意，我们提供的本平台及相关服务是按照现有技术和条件所能达到的现状提供的。我们会尽最大努力向您提供服务，确保服务的连贯性和安全性。您理解，我们不能随时预见和防范技术以及其他风险，包括但不限于不可抗力、网络原因、第三方服务瑕疵、第三方网站等原因可能导致的服务中断、不能正常使用本平台软件及服务以及其他的损失和风险。
You understand and agree that the Platform and related services we provide are offered as is, to the extent permitted by Prior Art and conditions. We will make every effort to provide services to you and ensure the continuity and security of the services. You understand that we cannot always foresee and prevent technical and other risks, including but not limited to service interruptions, inability to properly use the Platform software and services, and other losses and risks that may be caused by force majeure, network issues, defects in third-party services, third-party websites, and other reasons.
您理解并同意，我们为了整体服务运营、平台运营安全的需要，有权视具体情况决定服务/功能设置、范围，修改、中断、中止或终止本平台软件及相关服务。
You understand and agree that, for the needs of overall service operation and Platform operation security, we have the right to determine the settings and scope of services/functions, modify, suspend, discontinue, or terminate the Platform software and related services based on specific circumstances.
您理解并同意，本平台及相关服务可能会受多种因素的影响或干扰，我们不保证(包括但不限于)：
You understand and agree that the Platform and related services may be affected or disrupted by various factors, and we do not guarantee (including but not limited to):
本平台及相关服务不受干扰，及时、安全、可靠或不出现任何错误；用户经由我们取得的任何软件、服务或其他材料符合用户的期望；
the Platform and related services are not subject to interference, are timely, secure, reliable, or free from any errors; any software, services, or other materials obtained by users through us meet the users' expectations;
您理解并同意，在使用本平台及相关服务过程中，可能遇到不可抗力等因素（不可抗力是指不能预见、不能克服并不能避免的客观事件），包括但不限于自然灾害(如洪水、地震、台风等)、政府行为、战争、罢工、骚乱等。出现不可抗力情况时，我们将努力在第一时间及时修复，但因不可抗力造成的暂停、中止、终止服务或造成的任何损失，我们在法律法规允许范围内免于承担责任。
You understand and agree that during the use of the Platform and related services, you may encounter factors such as force majeure (force majeure refers to objective events that are unforeseeable, insurmountable, and unavoidable), including but not limited to natural disasters (such as floods, earthquakes, typhoons, etc.), government actions, wars, strikes, riots, etc. In the event of force majeure, we will strive to repair it promptly at the earliest opportunity, but we shall be exempt from liability within the scope permitted by laws and regulations for any suspension, interruption, termination of services or any losses caused by force majeure.
我们依据本协议约定获得处理违法违规内容的权利，该权利不构成我们的义务或承诺，我们不能保证及时发现违法行为或进行相应处理。
We obtain the right to handle illegal and irregular content in accordance with the provisions of this Agreement, and this right does not constitute our obligation or commitment. We cannot guarantee the timely discovery of illegal activities or corresponding handling.
您理解并同意，关于本平台及相关服务，我们不提供任何种类的明示或暗示担保或条件，包括但不限于商业适售性、特定用途适用性等。您对本平台提供的软件（如有）及相关服务的使用行为应自行承担相应风险。
You understand and agree that, with respect to the Platform and related services, we do not provide any kind of express or implied warranties or conditions, including but not limited to merchantability, fitness for a particular purpose, etc. You shall bear the corresponding risks for your use of the software (if any) and related services provided by the Platform.
您理解并同意，本协议旨在保障遵守国家法律法规、维护公序良俗，保护用户和他人合法权益，我们在能力范围内尽最大的努力按照相关法律法规进行判断，但并不保证我们判断完全与司法机关、行政机关的判断一致，如因此产生的后果您已经理解并同意自行承担。
You understand and agree that this Agreement is intended to ensure compliance with national laws and regulations, safeguard public order and good customs, and protect the legitimate rights and interests of users and others. We will make every effort within our capabilities to make judgments in accordance with relevant laws and regulations, but we do not guarantee that our judgments will be completely consistent with those of judicial and administrative authorities. You have understood and agreed to bear the consequences arising therefrom on your own.
我们在本平台及相关服务中提供的内容（包括但不限于软件、技术、程序、网页、文字、图片、图像、音频、视频、图表、版面设计、电子文档等）的知识产权属于我们或相关合作方。我们提供本服务时所依托的平台技术及相关著作权、专利权、商业秘密及其他知识产权均归我们或相关合作方所有。未经我们或其他权利人许可，任何人不得擅自使用（包括但不限于通过任何机器人、“蜘蛛”、RPA 等程序、设备或技术监视、复制、传播、展示、镜像、上载、下载）本平台及相关服务中的内容。
The Intellectual Property Rights of the content (including but not limited to software, technology, programs, web pages, text, pictures, images, audio, video, charts, layout designs, electronic documents, etc.) provided by us on the Platform and related services belong to us or relevant partners. The Platform technology and related copyrights, patent rights, trade secrets, and other Intellectual Property Rights on which we rely when providing the Service are all owned by us or relevant partners. Without the permission of us or other rights holders, no one shall use (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, downloading through any robots, "spiders", RPA or other programs, devices or technologies) the content on the Platform and related services without authorization.
未经我们事先书面同意，您不得为任何营利性或非营利性的目的自行实施、利用、转让或许可任何第三方实施、利用、转让上述知识产权。
Without our prior written consent, you shall not, for any for-profit or non-profit purpose, implement, utilize, transfer, or license any third party to implement, utilize, or transfer the above Intellectual Property Rights on your own.
我们为本平台开发、运营提供技术支持，并对本平台软件及相关服务的开发和运营等过程中产生的所有数据和信息等享有法律法规允许范围内的全部权利以及竞争优势。
We provide technical support for the development and operation of the Platform, and enjoy all rights and competitive advantages within the scope permitted by laws and regulations over all data, information, etc. generated during the development and operation of the Platform's software and related services.
请您在任何情况下都不要私自使用我们的包括但不限于“Lumidex”等在内的任何商标、服务标记、商号、域名、网站名称或其他显著品牌特征等（以下统称为“标识”）。未经我们事先书面同意，您不得将本条款前述标识以单独或结合任何方式展示、使用或申请注册商标、进行域名注册等，也不得实施向他人明示或暗示有权展示、使用、或其他有权处理该些标识的行为。由于您违反本协议使用我们上述商标、标识等给我们或他人造成损失的，由您承担全部法律责任。
Under no circumstances shall you privately use any of our trademarks, service marks, trade names, domain names, website names, or other prominent brand features, including but not limited to "Lumidex" (hereinafter collectively referred to as "marks"). Without our prior written consent, you shall not display, use, or apply for trademark registration, domain name registration, etc., of the marks mentioned in the preceding paragraph of this clause, either individually or in any combination, nor shall you engage in any act of explicitly or implicitly indicating to others that you have the right to display, use, or otherwise handle such marks. If you cause losses to us or others by using our above trademarks, logos, etc. in violation of this Agreement, you shall bear all legal responsibilities.
针对您违反法律法规及行政规定、违反本协议、隐私政策以及与本平台和终端相关的规则、规范、声明、公告、通知等内容的行为或根据有权机关的要求，我们有权独立判断并视情况采取预先警示、要求整改、立即停止传输信息、冻结账户权益、限制账号部分或者全部功能直至永久关闭账号、要求承担违约或侵权责任等措施。我们有权公告处理结果，且有权根据实际情况决定是否恢复使用。对涉嫌违反法律法规、涉嫌违法犯罪的行为将保存有关记录，并依法向有关主管部门报告、配合有关主管部门调查。如您申请恢复服务、解除上述冻结，您应按照我们要求如实提供您的身份证明以及我们要求的其他信息或文件，以便我们进行核实，且我们有权依照自行判断决定是否同意您的申请。您应当充分理解您的申请并不必然被允许。
In response to your actions that violate laws, regulations, administrative provisions, this Agreement, Privacy Policy, and rules, regulations, statements, announcements, notices, etc. related to the Platform and terminals, or as required by the competent authorities, we have the right to independently judge and, depending on the circumstances, take measures such as issuing pre-warnings, requiring rectification, immediately stopping information transmission, freezing account rights and interests, restricting some or all functions of the account until permanent account closure, and requiring you to assume liability for breach of contract or infringement. We have the right to announce the handling results and decide whether to resume use based on the actual situation. For suspected violations of laws and regulations or suspected illegal and criminal activities, relevant records will be retained, and reports will be made to relevant competent authorities in accordance with the law, and cooperation will be provided for investigations by relevant competent authorities. If you apply to resume services or lift the above-mentioned freeze, you shall truthfully provide your identity certificate and other information or documents as required by us, so that we can conduct verification, and we reserve the right to decide whether to approve your application based on our own judgment. You should fully understand that your application is not necessarily approved.
因您违反本协议或其他服务条款规定，引起第三方投诉或诉讼索赔的，您应当自行承担全部法律责任。因您的违法或违约行为导致我们及关联公司、认可的第三方合作伙伴产生损失、或向任何第三方赔偿或遭受相关监管机构处罚的，我们有权撤回、追缴金额，您应承担违约/侵权责任并应足额赔偿我们及其关联方、控制公司、继承公司或公司认可的第三方公司因此遭受的全部损失。
If your violation of this Agreement or other terms of service leads to complaints or litigation claims from third parties, you shall bear all legal responsibilities on your own. If your illegal or defaulting actions cause losses to us, our affiliated companies, or recognized third-party partners, or result in compensation to any third party or penalties from relevant regulatory authorities, we reserve the right to withdraw or recover the amount, and you shall bear the liability for default/tort and fully compensate us, our affiliated parties, controlling companies, successor companies, or third-party companies recognized by the Company for all losses incurred as a result.
您理解出于维护平台秩序及保护您权益的目的，如果您向我们及（或）我们的关联公司作出任何形式的承诺，且相关公司已确认您违反了该承诺并通知我们依据您与其相关约定进行处理的，则我们可按您的承诺或协议约定的方式对您的使用许可及其他我们可控制的权益采取限制措施，包括中止或终止对您的使用许可。
You understand that for the purpose of maintaining Platform order and protecting your rights and interests, if you make any form of commitment to us and/or our affiliated companies, and the relevant Company has confirmed that you have violated such commitment and notified us to handle the matter in accordance with the relevant agreement between you and it, we may take restrictive measures against your usage license and other rights and interests under our control in accordance with your commitment or the agreement, including suspending or terminating your usage license.
一旦您违反本协议或与我们签订的其他协议的约定，我们可通知我们关联公司，要求其对您的权益采取限制措施，包括要求关联公司中止、终止对您提供部分或全部服务，且在其经营或实际控制的网站依法公示您的违约情况。
Once you violate the provisions of this Agreement or other agreements entered into with us, we may notify our affiliated companies and request them to take restrictive measures against your rights and interests, including requesting affiliated companies to suspend or terminate the provision of some or all services to you, and publicly disclose your default situation on the websites they operate or actually control in accordance with the law.
如本平台以软件为载体和媒介向您提供相关服务，则本平台软件由您自下载平台下载取得，您需要遵守下载平台、系统平台、终端厂商对您使用许可软件方式与限制的约定，如果上述第三方确认您违反该约定需要我们处理的，我们可能会因第三方要求终止对您的使用许可。
If the Platform provides you with relevant services using software as the carrier and medium, then the software of the Platform shall be obtained by you through downloading from the download Platform. You need to comply with the agreements of the download Platform, system Platform, and terminal manufacturer regarding the manner and restrictions of your use of the licensed software. If the above-mentioned third parties confirm that you have violated such agreements and require us to take action, we may terminate your use license at the request of the third parties.
Upon the termination of this license, you shall cease using the Platform software and other services, and delete all copies of the Platform software.
如您违反本协议规定的条款，给我们或其他用户造成损失，您必须承担全部的赔偿责任。如我们承担了上述责任，则您同意赔偿我们的相关支出和损失，包括合理的律师费用。
If you violate the provisions of this Agreement and cause losses to us or other users, you must bear full liability for compensation. If we assume the above liability, you agree to indemnify us for the relevant expenses and losses, including reasonable attorney's fees.
鉴于本平台针对分销服务提供商提供相关技术服务，并不向一般消费者及用户提供服务，故如您是未成年人，我们暂时无法向您提供服务。
Since the Platform provides relevant technical services for the Company's distribution Service Provider and does not provide services to general consumers and users, if you are a minor, we are temporarily unable to provide the Services to you.
公司重视对未成年人个人信息的保护，因此，请您务必不要使用未成年的个人信息注册本平台的账户。如您使用未成年人的信息注册并取得相关账务及服务，则一经发现，我们有权立即注销该等账户且无需向您承担任何违约或侵权责任。
The Company attaches great importance to the protection of minors' personal information. Therefore, please do not use minors' personal information to register an account on the Platform. If you use minors' information to register and obtain relevant accounts and services, once discovered, we reserve the right to immediately cancel such accounts without incurring any liability for breach of contract or infringement to you.
The validity, interpretation, amendment, execution, and dispute resolution of this Agreement shall all be governed by the laws of the Republic of Singapore.
因本条款所产生或与本条款相关的任何争议（包括有关本条款的存在、效力或终止的任何问题），均应提交新加坡国际仲裁中心（“SIAC””），并根据届时有效的《新加坡国际仲裁中心仲裁规则》（“SIAC 仲裁规则””）通过仲裁方式终局解决，该等规则视为通过援引并入本条款。仲裁地为新加坡。仲裁庭由三（3）名仲裁员组成。仲裁语言为英文。
Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity or termination of these Terms, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of three (3) arbitrators. The language of arbitration shall be English.
我们有权依本平台软件及相关服务或运营的需要单方决定，安排或指定其关联方、控制公司、继承公司或公司认可的第三方公司继续运营本平台软件。并且，就本协议项下涉及的某些服务，可能会由我们的关联方、控制公司、继承公司或公司认可的第三方公司向您提供。您知晓并同意接受相关服务内容，即视为接受相关权利义务关系亦受本协议约束。
We reserve the right to unilaterally decide, arrange, or designate its affiliated parties, controlled companies, successor companies, or third-party companies approved by the Company to continue operating the Platform software in accordance with the needs of the Platform software, related services, or operations. Moreover, for certain services covered under this Agreement, they may be provided to you by our affiliated parties, controlled companies, successor companies, or third-party companies approved by the Company. Your awareness and consent to accept the relevant service content shall be deemed as acceptance that the relevant rights and obligations are also subject to this Agreement.
The headings in this Agreement are for convenience and readability only and shall not affect the meaning or interpretation of any provision in this Agreement.
